Rank is looking for a proactive and detail-oriented Assistant Company Secretary to support our critical corporate governance functions.

This is your chance to be a key player in an innovative and varied entertainment business. You will be;

  • Supporting on the migration of a global entity managed software provider and managing ongoing service delivery.
  • Managing third-party agents including notaries, registrars and others in Jersey, Guernsey, Malta and Mauritius.
  • Monitoring, tracking and reporting on compliance with local regulation and subsidiary governance framework.
  • Delivering company secretarial compliance and support for UK and overseas subsidiary entities, including drafting minutes, approval of accounts and bank mandate work.
  • Taking the lead in managing statutory records for global entities and developing process for regular verification as well as handling KYC aspects. 
  • Supporting the Group Company Secretary on Plc aspects including insider list notifications, FCA PDMR submissions, Companies House filings, audit queries and drafting sections of the annual report and accounts.

Qualifications

  • CGI Qualified - ACG qualified or graduate preferred but experienced part-qualified also considered.
  • Demonstratable experience of managing entity governance and compliance in multiple jurisdictions, ideally gained within a large group secretariat or global professional services provider.
  • Good technical knowledge of UK company’s law including aspects a FTSE 350 or small cap Plc.
  • Knowledge of UK Listing Rules and DTR’s beneficial.
  • Proficient in filing at Companies House and of using global entity management software tools.
